A Common Misunderstanding

One of the most frequently repeated questions we receive from both buyers and sellers is simple, yet legally critical: If Contract F expires, is the deal automatically cancelled?

The clear answer under the real estate practice is no. An expired contract is not the same as a cancelled contract. This distinction has serious legal and financial consequences for all parties involved.

Expiry vs Cancellation — The Legal Difference

When Contract F expires without a transfer of ownership and without a formal extension, the agreement does not automatically terminate. Instead, the transaction enters a legally unresolved status.

For a deal to be considered officially cancelled, all of the following must apply:
  • Both the buyer and seller agree not to extend the contract.
  • Both parties waive any compensation claims arising from the transaction and agrees to release the security deposit of the Buyer back to the Buyer’s custody.
  • A signed cancellation agreement is executed by all parties.
Only once these steps are completed can the transaction be treated as cancelled, allowing the agency to return the deposit cheque to the buyer and close the deal formally.

What Happens If There Is No Cancellation Agreement?

In the absence of a signed cancellation agreement, the expiry of Contract F places the transaction in a dispute position, even if no court case has yet been filed.

This means:
  • The deal is not considered cancelled.
  • Both buyer and seller retain the right to claim compensation.
  • Either party may initiate a case before the Dubai Courts, relying on the compensation clauses set out in the signed contract.
Importantly, the dispute relates to financial rights and compensation, not ownership itself.

Can the Seller Sell the Property After Contract Expiry?

This is another question we hear repeatedly — especially from parties already involved in court proceedings.

The answer is yes, in most cases, the seller can sell the property to another buyer after Contract F expires, regardless of whether:
  • No court case has yet been filed, or
  • A court case is already ongoing.
This is because:
  • The court dispute typically concerns compensation, not ownership transfer.
  • The Dubai Land Department system will allow a new transaction to proceed unless there is a registered financial claim or legal attachment against the property itself that blocks the unit from being sold.

The Role of the Deposit Cheque

In situations involving an expired contract:
  • The agency cannot release the deposit cheque merely because the contract has expired.
  • The cheque may only be released upon one of the following:
  • Successful transfer of ownership to a buyer
  • A signed cancellation agreement
  • A final court judgment clearly determining who is entitled to the cheque, in accordance with the contract’s terms and conditions
This protects all parties and ensures compliance with regulatory and contractual obligations.

Why This Matters for Buyers, Sellers, and Brokers

Misunderstanding the legal effect of contract expiry has led many parties into avoidable disputes, delayed transactions, and costly litigation. Knowing the difference between expiry, cancellation, and dispute allows parties to:
  • Make informed decisions
  • Protect their financial position
  • Avoid unnecessary legal exposure

An expired Contract F is not a cancelled deal. Without a formal cancellation agreement, the transaction remains legally active in terms of compensation rights, even if ownership never transferred.
